1. Who these Terms are between
These Terms & Conditions ("Terms") are a legally binding agreement between Ishanya Innovation Venture Pvt Ltd (CIN [CIN / registration number]), having its registered office at [Registered office address, India] ("BeSpoke," "we," "us," "our"), and the person or entity accessing or using the BeSpoke partner workspace website at crm.bespokedesign.in and the "Bespoke Designer Partner" mobile application, available on Android (Google Play) and iOS (Apple App Store) (together, the "Platform").
Ishanya Innovation Venture Pvt Ltd operates the Platform under the "BeSpoke" brand.
BeSpoke operates a marketplace and workspace that connects homeowners seeking interior design and fit-out services ("Homeowners") with independent design studios ("Studios") and furniture/material suppliers ("Vendors") (Studios and Vendors together, "Partners"). By creating an account, submitting a brief, applying to become a Partner, or otherwise using the Platform, you accept these Terms. If you do not agree, you must not use the Platform.
The Platform is intended for users who are at least 18 years old and, where you act on behalf of a company or firm, for individuals with authority to bind that entity.

2. What the Platform is — and is not
BeSpoke provides technology infrastructure — lead intake and qualification, a workspace for briefs, drawings and approvals, quotation and milestone-billing tools, an order queue for furniture/material purchases, and related messaging and account-management features. Unless expressly stated otherwise:
- BeSpoke is not a party to, and does not itself perform, the interior design, fit-out, construction, fabrication, or delivery work carried out by a Studio or Vendor. Design and execution contracts are between the Homeowner and the relevant Studio or Vendor.
- BeSpoke does not guarantee the accuracy of any Studio's or Vendor's representations, licences, quality of workmanship, timelines, or pricing, beyond the KYC checks described in Section 4.
- Any quotation, drawing, project plan, or order generated on the Platform is produced by the Partner using Platform tools; BeSpoke is not the author of that professional or commercial content and is not responsible for its technical accuracy.
3. Accounts and roles
The Platform supports multiple account types with different permissions:
- Homeowner accounts, used to submit briefs, review proposals, approve drawings, and track a project through to handover.
- Studio accounts, used by design studios to receive and accept/decline leads, prepare itemised GST-ready quotations, publish drawings for approval, run projects against milestones, and raise payment requests.
- Vendor accounts, used by furniture and material suppliers to list products, receive and fulfil orders, and manage catalogue and team information.
Within a Partner's workspace, the Partner's administrator (director/principal) may create sub-accounts for team members (e.g. account managers, architects, design managers, designers, project managers, sales) with role-based access that the Partner controls.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, including activity by team members you invite. You must notify us promptly at contact@bespokedesign.in of any unauthorised use.
You represent that all information you provide during registration and onboarding is accurate, current, and complete, and that you will keep it updated.
4. Partner onboarding and KYC verification
Studios and Vendors must complete a verification process before their workspace is activated and before leads or orders are routed to them. This includes submission of company/firm registration documents, GST registration details, and identity documents for authorised signatories, which we (or a verification service provider acting on our behalf) will check.
We may, at our sole discretion, decline an application, suspend a Partner workspace pending re-verification, or reject specific documents that appear incomplete, inconsistent, or fraudulent. Passing KYC does not amount to an endorsement of a Partner's work quality, and Homeowners remain responsible for their own diligence before contracting with a Partner.
Partners must promptly update their KYC information (registration status, GST status, authorised signatories, business address) if it changes, and must inform us if any registration or licence required for their trade is suspended or cancelled.
5. Leads
Homeowner briefs (rooms, budget band, timeline, city, and related details) are scored and routed to Studios that match the stated criteria and coverage area. A Studio may accept or decline a routed lead. Accepting a lead does not create any obligation on the Homeowner to engage that Studio, and declining a lead does not guarantee the Studio further leads.
We do not warrant the volume, frequency, or quality of leads that will be routed to any Studio, and lead-routing logic, scoring criteria, and coverage areas may be changed by us at any time.
Studios must not attempt to re-route, resell, or share Homeowner contact details obtained through the Platform other than for the purpose of servicing that Homeowner's project, and must not solicit the Homeowner for services outside the Platform where doing so would circumvent fees payable to us under Section 8.
6. Quotations, drawings, approvals, and projects
Studios use the workspace to build itemised quotations (including applicable GST) from their own rate cards, to publish drawings for Homeowner review, and to record Homeowner approvals and revisions. Each approval and revision is retained on the Platform as a record, but the underlying design and contractual responsibility remains that of the Studio.
Once a Homeowner approves a quotation, the resulting design/fit-out contract is between the Homeowner and the Studio. BeSpoke's role is limited to hosting the record of that approval and, where applicable, facilitating milestone-based payment requests through the Platform.
Studios are responsible for the accuracy of their quotations, GST computation and invoicing, and compliance with applicable consumer-protection, building, and trade regulations in respect of work they undertake.
7. Vendor listings and orders
Vendors may list furniture, materials, and design products for sale to Studios and Homeowners through the Platform. Vendors are solely responsible for the accuracy of listings (pricing, specifications, availability, images), for order fulfilment (confirmed, shipped, delivered), for product quality and warranty obligations, and for compliance with applicable consumer-protection and product-safety laws, including the Consumer Protection (E-Commerce) Rules, 2020, to the extent applicable to their listings.
BeSpoke provides the order queue, status tracking, and buyer-facing visibility as a technology service. Except where we expressly act as seller of record for a specific transaction (which will be separately disclosed at checkout), the contract of sale for an order is between the Vendor and the buyer, and returns, refunds, and warranty claims are to be handled per the Vendor's stated policy, subject to applicable law.
8. Fees, invoicing, and payments
Access to the Partner workspace, lead routing, and transaction facilitation may be subject to fees (subscription fees, per-lead fees, and/or a percentage-based platform fee on quotations and orders processed through the Platform), as set out in the fee schedule provided to each Partner during onboarding or as updated from time to time with notice.
Payment requests raised by a Studio against project milestones, and payments for Vendor orders, may be routed through a third-party payment gateway or escrow arrangement. BeSpoke is not a bank or licensed payment aggregator; where a licensed third-party processes funds on our behalf, that processor's terms will also apply to the transaction.
Partners are solely responsible for their own tax obligations, including GST registration, invoicing, and remittance, in respect of amounts they receive through the Platform. Fees payable to BeSpoke are exclusive of applicable taxes unless stated otherwise, and are non-refundable except as required by law or as expressly stated in a separate partner agreement.
We may suspend a workspace for non-payment of fees after notice, without affecting fees already accrued.
9. Prohibited conduct
In addition to any role-specific restrictions above, you agree not to:
- Circumvent the Platform to avoid fees that would otherwise be payable (e.g. moving a Homeowner relationship off-Platform after a lead was routed, to avoid platform fees).
- Submit false, misleading, or fraudulent KYC, registration, GST, quotation, or order information.
- Scrape, systematically extract, or resell data from the Platform, or use automated means (bots, scripts) to access it.
- Impersonate another person or entity, or misuse another user's account or credentials.
- Upload content that infringes a third party's intellectual property, is defamatory, obscene, or unlawful, or that contains malicious code.
- Use the Platform for any purpose that competes with BeSpoke or attempt to reverse-engineer, decompile, or copy the Platform's software.
- Harass, threaten, or discriminate against another user, or engage in unsafe or unlawful conduct in connection with a project sourced through the Platform.
We may investigate suspected violations and may suspend or terminate accounts, withhold pending payouts implicated in a dispute pending resolution, or report conduct to relevant authorities, at our discretion.
10. Intellectual property
The Platform's software, design, trademarks (including "BeSpoke" and associated logos), and underlying technology are owned by or licensed to us and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose.
Content that a user uploads (drawings, quotations, product listings, photographs, briefs) remains owned by that user or the party who created it. By uploading content, you grant BeSpoke a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display that content as needed to operate the Platform (for example, showing a Studio's drawing to the relevant Homeowner, or a Vendor's listing in the shop).
You must not remove proprietary notices from Platform content, and must not use BeSpoke's trademarks without prior written consent except to accurately describe your participation as a verified Partner.
11. Third-party services and links
The Platform may link to or integrate third-party services (payment processors, verification providers, mapping, communication tools). We are not responsible for the content, policies, or performance of third-party services, and your use of them is subject to their own terms.
12. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LEAD, QUOTATION, DRAWING, OR ORDER WILL MEET YOUR REQUIREMENTS.
WE ARE NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, WORKMANSHIP, DELIVERY TIMELINES, OR PRODUCT QUALITY OF ANY STUDIO OR VENDOR. DISPUTES REGARDING THE QUALITY OR PERFORMANCE OF DESIGN, FIT-OUT, OR SUPPLY WORK ARE BETWEEN THE HOMEOWNER AND THE RELEVANT PARTNER.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BESPOKE AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE PLATFORM OR ANY TRANSACTION FACILITATED THROUGH IT. OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE PLATFORM FEES PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot be excluded under Indian law, including liability for fraud or wilful misconduct.
14. Indemnity
You agree to indemnify and hold BeSpoke harmless from claims, losses, and reasonable legal costs arising out of your breach of these Terms, your violation of applicable law, your infringement of a third party's rights, or (for Partners) the design, fit-out, product, or delivery work you perform in connection with a Homeowner sourced through the Platform.
15. Suspension and termination
We may suspend or terminate your access to the Platform, with or without notice, for breach of these Terms, suspected fraud, failed or lapsed KYC, non-payment of fees, or if required by law or a competent authority. You may close your account at any time by writing to us, subject to settlement of any pending fees, orders, or milestone payments.
Provisions that by their nature should survive termination (including Sections 8, 10, 12, 13, 14, and 17) will survive.
16. Changes to the Platform and these Terms
We may update these Terms from time to time. Material changes will be notified via the Platform or by email, and continued use after the effective date constitutes acceptance. We may also modify, suspend, or discontinue features of the Platform at our discretion, including for maintenance.
17. Governing law and dispute resolution
These Terms are governed by the laws of India. Subject to the informal-resolution step below, disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seated in [City, e.g. Gurugram], India, conducted in English. Before initiating arbitration, the parties will attempt to resolve the dispute through good-faith negotiation for at least thirty (30) days after written notice.
Nothing in this section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction in [City, e.g. Gurugram], India, to protect intellectual property or confidential information.

We will acknowledge grievances and work to resolve them within the timelines prescribed by applicable law.
19. Miscellaneous
- These Terms, together with any partner agreement, fee schedule, or policy referenced here, form the entire agreement between you and BeSpoke on this subject.
- If any provision is held unenforceable, the remaining provisions continue in effect.
- Our failure to enforce a right is not a waiver of that right.
- You may not assign your rights under these Terms without our consent; we may assign our rights in connection with a merger, acquisition, or sale of assets.
- Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and BeSpoke.
